Time To Update Your Clients Old M & A's
19 April 2007
Significant amendments were made to the Corporations Act in 1998. As a result all companies registered prior to 1998 will have Memorandum and Articles of Association (M & A's). Although these memorandum and Articles of Association will be taken to be the constitution of that company, it is highly recommended that these older companies adopt a new constitution to take advantage of the most current changes to the Corporations Act.
Some major benefits of adopting a new constitution are as follows:
- Removal of requirement to hold Annual General Meetings;
- Removal of need to hold meetings at one place and time;
- Removal of need to use a company seal, whilst still permitting its use;
Ability to have only one director/shareholder.
We take this opportunity to offer our service of a constitution upgrade to you. Feel free to contact us to obtain an order form or for any further information. An order can be made directly from our website under the Order Online section. Our fee for this service is $110.00 inclusive of GST, and includes consenting director/shareholder minutes. |
