Time To Update Your Clients Old M & A's

Significant amendments were made to the Corporations Act in 1998. As a result all companies registered prior to 1998 will have Memorandum and Articles of Association (M & A's). Although these memorandum and Articles of Association will be taken to be the constitution of that company, it is highly recommended that these older companies adopt a new constitution to take advantage of the most current changes to the Corporations Act.

Some major benefits of adopting a new constitution are as follows:
  • Removal of requirement to hold Annual General Meetings;
  • Removal of need to hold meetings at one place and time;
  • Removal of need to use a company seal, whilst still permitting its use; Ability to have only one director/shareholder.
