What is a Shelf Company?
Shelf Companies are companies created on a particular date (i.e. 30th June, 2009) for the sole purpose to be sold in the future (i.e. 15th August, 2009).
There are few providers of this service and it is not always possible to obtain a company that was created on a particular date.
Shelf companies are generally proprietary companies whereby the suppliers are generally the original Directors and Members of the company. These shelf companies are not used for trading or any business activity.
For peace of mind, before purchasing a shelf company ensure;
- The company has not traded
- A guarantee is provided by the supplier to state the Company has not traded and does not have any debts or liabilities
- The original owners of the Shelf Company are professional Directors, Members and Secretaries
Why use a Shelf Company
The purposes for shelf companies can vary and one common reason for buying a shelf company is creating an appearance of corporate longevity, which may boost investor or consumer confidence.
If you decide to purchase a shelf company, be sure to understand that ASIC will charge penalties for backdating the change of company ownership. Penalties for back dating changes are generally for:
- Change of Company Details Form 484A - Addresses (Registered Office and Business Address)
- Change of Company Details Form 484B - Officeholders (Directors, Secretaries & Public Officer)
- Change of Company Details Form 484C - Members (Shareholders)
Shelf Companies:
- Will already have a registered name which can be changed after purchase for a fee.
- Have a constitution or replaceable rules in place.
- May already have passed it's Annual Review and these fees need to be reimbursed to the original owners.
- Require a register/records detailing the Shareholders and Directors both past and present.
